Access to the platform is granted only for the duration of an active subscription. Users may select from available plans, including SaaS accounts and White Label accounts, as offered on the official website. SayZio does not provide: One-time purchase licenses Perpetual software ownership rights Offline or downloadable licensed copies of the software All access rights are temporary, limited, non-transferable, and subject to compliance with these Terms and the continued payment of applicable subscription fees. 2.2 Cloud-Based System The platform is hosted and operated on secure cloud infrastructure. Access to the Service is conditional upon compliance with these Terms and the continued maintenance of accurate and lawful account information.
5.1 Account Creation To access and use the SayZio platform, users must create an account through the official login portal at: https://login.sayzio.app/ By registering for an account, you agree to: Provide accurate, current, and complete information during registration. Update your account information promptly to ensure it remains accurate and complete at all times. Maintain the confidentiality and security of your login credentials, including your username, password, and any authentication methods associated with your account. Ensuring that unauthorized access to your account does not occur by implementing appropriate security practices. You agree to notify the Company immediately if you suspect unauthorized access, security breaches, or misuse of your account. The Company shall not be liable for any direct, indirect, incidental, or consequential losses arising from unauthorized access to your account where such access results from your failure to maintain adequate security of your login credentials. Account access is granted on a limited, revocable basis and may be suspended or terminated if security risks, fraudulent activity, or violations of these Terms are detected.
6.1 Subscription-Based Access SayZio operates exclusively on a recurring subscription-based model. Access to the platform is granted only while a valid and active subscription is maintained. No one-time purchase or lifetime licenses are offered. No perpetual ownership rights are granted. Continued access to features, data, and system functionality is strictly conditional upon maintaining an active subscription in good standing. If a subscription expires, is canceled, or is terminated, access to the platform and associated features may be restricted or revoked. 6.2 Trial Period Certain entry-level or promotional plans may include a limited free trial period. Trial duration may vary depending on the selected plan, promotional campaign, or region. Trial access may include limited features or usage restrictions. The Company reserves the right to modify or withdraw trial offers at any time without prior notice. Upon expiration of the trial period: Continued access to the Service requires activation of a paid subscription. If a payment method was provided at sign-up, failure to cancel before the trial ends may result in automatic conversion to a paid subscription and corresponding charges. It is the user’s responsibility to cancel the trial before the expiration date if they do not wish to continue with a paid plan. 6.3 Recurring Billing Subscription fees are billed in advance on a recurring basis. Billing cycles may be monthly or annually, depending on the plan selected. Charges automatically recur at the end of each billing cycle unless the subscription is canceled prior to the renewal date. By subscribing, you authorize the Company to charge your selected payment method for all applicable recurring subscription fees, taxes, and approved add-ons. 7.1 Cancellation by User Users may cancel their subscription at any time through their account settings within the SayZio platform. Upon cancellation: Future recurring billing will be stopped. Access to the Service will continue until the end of the current paid billing cycle, unless otherwise specified. No refunds will be issued for the current billing period, whether monthly or annual, except where required by applicable law or explicitly stated in a separate refund policy. Cancellation does not automatically delete your account unless specifically requested. However, once the active billing period ends, access to features, tools, and data may be restricted or revoked. Users are responsible for exporting or backing up their data prior to the end of their subscription period. The Company is not obligated to retain account data after cancellation. 7.2 Suspension or Termination by Company The Company reserves the right, at its sole discretion, to suspend, restrict, or permanently terminate any account that: Violates these Terms and Conditions Engages in unlawful, fraudulent, abusive, or deceptive activities Fails to make required subscription payments Attempts to misuse, exploit, reverse engineer, disrupt, or compromise the integrity or security of the platform Engages in spam, harassment, or prohibited marketing practices Poses legal, financial, or reputational risk to the Company or other users Suspension may be temporary or permanent depending on the severity of the violation. In cases of serious violations, the Company may terminate access immediately without prior notice. Termination may result in: Immediate loss of access to the platform Deletion of account data, including stored contacts, campaigns, automation workflows, and analytics Removal of white-label sub-accounts (if applicable) The Company shall not be liable for any losses, damages, or business interruptions resulting from suspension or termination carried out in accordance with these Terms. All provisions of these Terms that by their nature should survive termination shall remain in effect after account termination.
By accessing or using the SayZio platform, you agree to use the Service responsibly, lawfully, and in accordance with these Terms. You agree not to: Use the Service for any illegal, unlawful, fraudulent, deceptive, or unauthorized activities. Violate any applicable local, national, or international laws or regulations. Transmit, upload, or distribute viruses, malware, ransomware, harmful code, or any malicious software designed to disrupt, damage, or gain unauthorized access to systems or data. Attempt to gain unauthorized access to any part of the platform, servers, databases, infrastructure, or related systems. Reverse engineer, decompile, disassemble, copy, replicate, scrape, or otherwise attempt to extract source code, proprietary logic, algorithms, or system architecture. Use automated scripts, bots, or methods intended to overload, abuse, or excessively consume system resources. Interfere with or disrupt the integrity, performance, or security of the Service. Use the platform to send spam, unsolicited communications, phishing messages, or misleading marketing content. 8.1 AI-Related Conduct Because SayZio includes AI-powered automation and content generation features, you additionally agree that you will not: Use AI features to generate unlawful, harmful, defamatory, misleading, discriminatory, or deceptive content. Use AI automation to send spam, mass unsolicited messages, or communications that violate anti-spam or electronic marketing laws. Rely solely on AI-generated content without appropriate human oversight where legal, financial, medical, or regulated matters are involved. Use AI tools to impersonate individuals, misrepresent identity, or conduct fraudulent communications. Attempt to manipulate, exploit, probe, or extract proprietary AI models, system prompts, training data, or underlying algorithms. You acknowledge that AI outputs are generated automatically and that you are solely responsible for reviewing, approving, and ensuring the legality and appropriateness of all AI-generated content distributed through your account. 8.2 Enforcement Violation of this User Conduct section may result in: Immediate suspension of account access Permanent termination of the account Removal of hosted data or content Legal action where applicable The Company reserves the right to investigate suspected violations and take appropriate action at its sole discretion, with or without prior notice, depending on the severity of the breach.
All intellectual property rights in and to the SayZio platform and related services are and shall remain the exclusive property of Rebellion Digital, including but not limited to: Software source code and object code Platform architecture and system design User interface (UI) and user experience (UX) elements AI models, automation logic, workflows, and proprietary algorithms Logos, trademarks, brand names, and visual identity elements Website content, graphics, documentation, and training materials Marketing materials and promotional content All trademarks, service marks, trade names, logos, and branding associated with SayZio are owned by or licensed to Rebellion Digital and are protected by applicable intellectual property laws. 9.1 Limited License to Users Subject to compliance with these Terms and the maintenance of an active subscription, users are granted a: Limited Non-exclusive Non-transferable Non-sublicensable Revocable license to access and use the Service solely for lawful business purposes during the active subscription period. This license does not grant any rights to: Copy, modify, distribute, reproduce, or create derivative works from the platform Resell, lease, or commercially exploit the software outside permitted White Label arrangements Access or use the source code Extract or reuse proprietary AI models or system logic Remove or alter copyright, trademark, or proprietary notices 9.2 No Transfer of Ownership No ownership rights are transferred to users under these Terms. All rights not expressly granted to users remain reserved by Rebellion Digital. Access to the Service does not constitute a sale of software or intellectual property. Any unauthorized use of the Company’s intellectual property may result in immediate termination of access and potential legal action.
10.1 Ownership of User Data Users retain full ownership of all business data, content, materials, and information that they upload, create, store, or process within the SayZio platform (“User Data”). User Data may include, but is not limited to: Customer contact information Lead data Marketing content and campaigns Automation workflows AI-generated communications Sales and transaction records Uploaded documents and media The Company does not claim ownership of User Data. 10.2 License to Process and Operate the Service By using the Service, you grant the Company a limited, non-exclusive, worldwide, royalty-free license to: Store User Data on secure cloud infrastructure Process User Data as necessary to provide platform functionality Transmit User Data between integrated systems and third-party service providers required for operation Use User Data to deliver automation, analytics, AI features, communications, and payment integrations This license is granted solely for the purpose of operating, maintaining, improving, and securing the Service and does not grant the Company the right to sell User Data. 10.3 Data Processing and Third-Party Services The Service may rely on third-party infrastructure providers, payment gateways, messaging providers, analytics tools, or integration partners to function properly. User Data may be transmitted to such providers strictly as required to deliver the Service. Users acknowledge that the use of certain features (e.g., email campaigns, SMS, WhatsApp messaging, payment processing, AI automation) may involve third-party platforms, and such use may be subject to additional third-party terms and policies. 10.4 Data Security The Company implements reasonable administrative, technical, and organizational security measures designed to protect User Data from unauthorized access, disclosure, alteration, or destruction. However: No method of electronic transmission or storage is completely secure. The Company does not guarantee absolute security of User Data. Users are responsible for maintaining the security of their own login credentials and internal data practices. The Company shall not be liable for data breaches or security incidents resulting from factors beyond its reasonable control, including but not limited to cyberattacks, force majeure events, or user negligence. 10.5 Data Retention and Deletion Upon cancellation or termination of an account, User Data may be retained for a limited period in accordance with operational, legal, or compliance requirements. After such period, data may be permanently deleted. Users are responsible for exporting or backing up their data prior to account termination. The Company is not obligated to retain or recover data once it has been deleted in accordance with its retention policies.
The SayZio platform may integrate with or rely upon third-party services to provide certain features and functionalities. These third-party services may include, but are not limited to: Payment processors Email delivery providers SMS and messaging gateways (including WhatsApp or similar services) Cloud hosting providers Analytics tools External integrations and APIs 11.1 No Control Over Third-Party Services The Company does not own, control, or operate third-party service providers. While integrations are made available for user convenience, the Company: Does not guarantee the availability, performance, or reliability of third-party services. Does not control the terms, policies, or practices of third-party providers. Does not endorse or assume responsibility for third-party products or services. Users acknowledge that third-party services operate independently and are subject to their own terms of service, privacy policies, and operational standards. 11.2 No Responsibility for Third-Party Policies When using features that rely on third-party services, users may be required to agree to separate terms and policies imposed by those providers. These outputs may include automated responses, marketing content, workflow actions, analytical insights, or other system-generated results. 13.2 No Guarantee of Accuracy AI-generated outputs: May not always be accurate, complete, or reliable May contain errors, omissions, or unintended results May produce outputs that are not suitable for specific industries or regulatory environments Users acknowledge that AI functionality operates probabilistically and that outputs should not be considered definitive or guaranteed. AI-generated outputs should not be solely relied upon for critical business, financial, legal, compliance, or professional decisions. Users are solely responsible for reviewing, verifying, and approving any AI-generated output before use or distribution. 13.3 User Responsibility for AI Content You are solely responsible for: Any content generated using AI tools within the platform All automated communications sent through AI workflows Compliance with applicable laws, regulations, and industry standards Ensuring that AI-generated communications do not infringe upon third-party rights Verifying factual accuracy before publishing or distributing AI-generated content The Company does not assume responsibility for decisions made based on AI-generated outputs. 13.4 AI Training and Data Processing AI functionality may process user inputs, prompts, or operational data to generate responses or automate actions. Users acknowledge that they are solely responsible for how they use the platform and for evaluating whether the Service is suitable for their business needs. 14.2 No Continuous Uptime Guarantee The Company does not guarantee uninterrupted, error-free, or continuous access to the Service. Temporary service interruptions, delays, or technical issues may occur. The Company disclaims any warranty that: The Service will be available at all times The platform will operate without defects Errors will be corrected immediately The Service will be compatible with all systems or environments 14.3 AI and Automation Disclaimer AI-generated outputs and automated workflows are provided as productivity tools. You agree to indemnify, defend, and hold harmless Rebellion Digital, its owners, directors, officers, employees, affiliates, licensors, contractors, and partners from and against any and all claims, demands, actions, liabilities, damages, losses, costs, and expenses, including reasonable legal fees, arising out of or related to: Your misuse or improper use of the Service Your violation of these Terms and Conditions Your breach of any applicable law, regulation, or industry requirement Your use of AI-generated content or automated communications Any content, data, campaigns, or communications created, uploaded, or distributed through your account Any third-party disputes arising from your business activities conducted through the platform This indemnification obligation includes, without limitation, claims brought by: Your customers or clients Regulatory authorities Payment processors Messaging providers Third-party integration partners Any other third party affected by your use of the Service You agree to cooperate fully with the Company in the defense of any claim and acknowledge that the Company reserves the right to assume exclusive control of the defense and settlement of any matter subject to indemnification. These Terms and Conditions, and any dispute, claim, or controversy arising out of or relating to the Service, its use, or these Terms, shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law principles. 17.1 Exclusive Jurisdiction All disputes, legal proceedings, or claims arising from or related to: Use of the SayZio platform Subscription agreements AI-generated outputs Billing or payment matters Account suspension or termination Interpretation or enforcement of these Terms shall be subject to the exclusive jurisdiction of the District Court, Visakhapatnam, Andhra Pradesh, India. Users expressly agree to submit to the personal and exclusive jurisdiction of the courts located in Visakhapatnam, Andhra Pradesh, and waive any objections relating to venue, jurisdiction, or inconvenient forum. 17.2 International Users Users accessing the Service from outside India acknowledge that: They do so at their own initiative and risk. They are responsible for compliance with local laws applicable in their jurisdiction. Any legal disputes shall still be governed by Indian law and resolved exclusively in the courts specified above. This Governing Law and Jurisdiction clause shall survive termination of these Terms and continued use of the Service.
The Company shall not be liable for any delay, interruption, or failure to perform its obligations under these Terms if such delay or failure results from causes beyond its reasonable control (“Force Majeure Event”). Force Majeure Events may include, but are not limited to: Natural disasters such as floods, earthquakes, fires, or storms Acts of God Government actions, regulations, restrictions, or orders Changes in law or regulatory requirements Internet service disruptions or infrastructure failures Power outages Cyberattacks, hacking incidents, or large-scale security breaches War, terrorism, civil unrest, riots, or political instability Labor strikes or workforce disruptions Failures of third-party service providers During the existence of a Force Majeure Event: The Company’s obligations shall be suspended to the extent affected. The time for performance shall be extended for the duration of the Force Majeure Event. The Company will make reasonable efforts to restore Service functionality as soon as practicable; however, it shall not be responsible for any losses, damages, business interruptions, or data impacts resulting from Force Majeure Events. This section shall apply even if such events affect third-party infrastructure or integrated service providers necessary for operation of the platform.
The Company reserves the right to modify, update, amend, or replace these Terms and Conditions at any time, at its sole discretion. 19.1 Updates and Revisions Revised Terms will be: Posted on the official website Effective from the date of publication unless otherwise specified The Company may, but is not obligated to, provide additional notice of significant changes through email notifications, platform announcements, or dashboard alerts. It is the user’s responsibility to review these Terms periodically to stay informed of any updates. 19.2 Acceptance of Revised Terms Continued access to or use of the Service after updated Terms are posted constitutes acceptance of the revised Terms. If any provision of these Terms and Conditions is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be enforced to the maximum extent permissible under applicable law. If full enforcement is not possible, the invalid or unenforceable provision shall be: Modified to reflect the original intent of the parties as closely as possible while remaining legally enforceable, or Severed from these Terms to the extent necessary to render the remaining provisions valid and enforceable. The invalidity or unenforceability of any single provision shall not affect the validity, legality, or enforceability of the remaining provisions, which shall continue in full force and effect. This Severability clause shall apply to all sections of these Terms, including but not limited to limitations of liability, indemnification, governing law, and dispute resolution provisions.
These Terms and Conditions constitute the entire agreement between the User and Rebellion Digital regarding access to and use of the SayZio platform and related services. This agreement supersedes and replaces all prior or contemporaneous agreements, communications, representations, proposals, negotiations, or understandings, whether oral or written, relating to the Service. No statement, representation, or promise made by the Company or its representatives that is not expressly set forth in these Terms shall be binding. In the event of any conflict between these Terms and any other policy, guideline, or agreement published on the website, these Terms shall prevail unless explicitly stated otherwise. Any waiver of any provision of these Terms shall be effective only if made in writing and signed by an authorized representative of Rebellion Digital. Failure to enforce any right or provision under these Terms shall not constitute a waiver of such right or provision.
